SUBJ: MEMORANDUM RECISSION II
For the purposes of this Memorandum and making certain immediate changes to policies, directives, Agreements, Memorandums, Operating Agreements, and internally related documents issued periodically for the purpose of the exchange of information, Village Resorts Hospitality Group, LLC, to include any Company we may manage, own, and operate and any/or all related entities of Oliver B. Mitchell III or any entity or Company owned by the above hereby rescinds effective immediately all documents previously disseminated to the public for the reasons outlined below.
Information being provided by Village Resorts Hospitality Group, LLC, is “as is” and without any representation or warranty of any kind, either express or implied, regarding the accuracy or completeness or other quality of the information provided. In no event shall either party or its affiliates or any of their respective directors, officers, employees, agents, or representatives (including, without limitation, “VRHG”) have any liability to the other party relating to or arising out of any use of the provided information in accordance with previously disseminated information to the public.
Unfair competition and hostile takeovers can negatively affect and impact our business model, severely impacting our goals and strategies resulting in an inferior product limiting our ability to fulfill our Mission Statement.
To the extent any information may include materials subject to attorney-client privilege, work product doctrine or any other applicable privilege concerning pending or threatened legal proceedings or governmental investigations, all Persons understand and agree that they have a commonality of interest with respect to such matters and it is their desire, intention and mutual understanding that the sharing of such information is not intended to, and shall not, waive or diminish in any way the information of such material or its continued protection under the work product doctrine or other applicable privilege. All information provided by Village Resorts Hospitality Group, LLC, is entitled to protection under the work product doctrine or other applicable privilege and shall remain entitled to such protection under these privileges, this Memorandum, and under the joint defense doctrine.
Per Village Resorts Hospitality Group, LLC, Non-Disclosure Agreement issued on August 12, 2021, for the benefit of the Company and to protect the Company from having its trade secrets disclosed to our competitors or the general public, it is now Our position that no new policies, directives, Agreements, Memorandums, Operating Agreements, and internally related documents will be released to the public and that many policies, directives, Agreements, Memorandums, Operating Agreements, and internally related documents pertaining to Village Resorts Hospitality Group, LLC, may have been REAMENDED and RESTATED and all previous policies, directives, Agreements, Memorandums, Operating Agreements, and internally related documents thereof are now considered NULL and VOID and unenforceable.
URBAN GROUND RESORT, LLC, TO INCLUDE VILLAGE RESORTS HOSPITALITY GROUP, LLC, IS A LEGALLY REGISTERED CALIFORNIA LIMITED LIABILITY COMPANY AND NOT A RACE BASED OR SOCIAL MOVEMENT ORGANIZATION. OUR OPERATIONS ARE GUIDED BY THE RULES, LAWS, AND REGULATIONS SET FORTH AND ARE LEGAL, BINDING, AND FORTHRIGHT.
